Complete Business Build-Out Program Agreement

Business Foundation • Business Plan • Business Credit • Funding Readiness Agreement

This Agreement (“Agreement”) is entered into between KLN Consulting, a division of CDW Consulting LLC (“Company”) and the client (“Client”) enrolling in the Business Blueprint 360™ Complete Business Build-Out Program. By enrolling and submitting payment, the Client agrees to the terms outlined below.

Services Provided

KLN Consulting provides business consulting, business foundation guidance, business planning, business credit education, financial organization guidance, funding readiness education, and business strategy services.

The Business Blueprint 360™ Program is designed for entrepreneurs who are starting a business or have started one but do not yet have the proper foundation, structure, systems, business credit strategy, financial organization, or roadmap in place.

Important: KLN Consulting does not guarantee any specific outcomes, including business formation approval, business credit approvals, vendor approvals, score increases, financing approvals, funding amounts, revenue increases, or specific timelines. All final decisions are made solely by the applicable government agencies, creditors, credit bureaus, vendors, lenders, or financial institutions.

The Company provides guidance, education, consulting, and strategic recommendations based on the Client's current business profile and goals.

Business onboarding and assessment
Review of Client-provided business information and documents
Business structure, LLC formation, EIN, business name, and NAICS/SIC guidance
Licensing, address, phone, email, domain, website-readiness, credibility, and compliance guidance
Business bank-account preparation and business information consistency review
Customized business plan development
Brand and business presence guidance
Business financial organization guidance
Business credit profile assessment and strategy, including D&B, Experian Business, Equifax Business, vendor, and Net-30 guidance
Personal credit funding-readiness review, when applicable
Funding education and preparation
Business funding-readiness assessment
Customized 30/60/90-day business action plan
Educational resources, strategy sessions, and program support

Program Investment & Payment

The investment for the Business Blueprint 360™ Complete Business Build-Out Program is $2,497, unless otherwise agreed to in writing by KLN Consulting.

Paid In Full

Investment: $2,497

Payment Plan

Down Payment: $997

Then: 3 Payments of $500

By submitting payment or enrolling in an approved payment arrangement, the Client agrees to pay the total program investment according to the selected payment option.

If the Client enrolls through a payment plan, the Client authorizes KLN Consulting to charge the specified payment method according to the agreed payment schedule until the agreed program balance has been paid in full, unless otherwise required by applicable law.

Funding Success Fee

In addition to the program investment described above, the Client agrees to pay KLN Consulting a Funding Success Fee equal to ten percent (10%) of the total gross amount of funding successfully obtained by the Client through a funding opportunity or financing transaction for which KLN Consulting provided funding preparation, consulting, strategy, application support, lender introduction, or other related services, as applicable.

The Funding Success Fee is only due if the Client is successfully funded and receives the approved funds. For purposes of this Agreement, funding is considered successful when funds are disbursed or otherwise made available to the Client or the Client's business.

The Funding Success Fee is separate from the investment for the Business Blueprint 360™ Program and is calculated as 10% of the total funded amount.

The Client agrees to notify KLN Consulting promptly upon receiving funding and to provide reasonable documentation confirming the funded amount when requested.

Example: If the Client receives $50,000 in funding, the Funding Success Fee would be $5,000.

The Client understands that financing eligibility, approval, funding amounts, rates, terms, and final lending decisions are determined solely by the applicable lender or financial institution and are not guaranteed by KLN Consulting.

Required Client Onboarding & Documentation

Client acknowledges that participation in the Business Blueprint 360™ Program requires completion of the Company's onboarding process.

The Client may be required to provide information and documents necessary for the Company to conduct a thorough review of the Client's current business position and program needs.

The purpose of the onboarding and document review process is to identify potential gaps, inconsistencies, missing documentation, business foundation concerns, financial organization issues, business credit opportunities, and funding-readiness factors.

Delays in providing requested information or documents may delay the Company's ability to complete the assessment or provide certain services.

No Refund Policy

Fees for consulting services, assessments or audits, document reviews, administrative work, educational resources, strategy sessions, customized plans, professional recommendations, and services already rendered are non-refundable, except where otherwise required by applicable law.

Requests regarding future services not yet provided may be reviewed on a case-by-case basis at KLN Consulting's discretion.

Missed / Failed Payments

In the event of a missed or failed payment, services may be paused until payment is received.

The Company reserves the right to suspend access to consulting, strategy sessions, program resources, account support, document review, progress tracking, or other program services until payments are current.

Any delay caused by missed or failed payments may affect the Client's program timeline.

Client Responsibilities

The Client agrees to:

✔ Provide accurate business, personal, and financial information

✔ Respond to requests promptly

✔ Complete required onboarding documents

✔ Provide requested business/financial/credit documents

✔ Participate in scheduled consultations

✔ Complete recommended action items

✔ Notify the Company of material changes to their business or financial situation

Cancellation Policy

The Client may cancel the program by providing written notice to KLN Consulting.

If the Client is enrolled in a payment arrangement, cancellation of future services and future scheduled payments will be handled in accordance with the agreed payment terms and applicable law.

Where applicable, the Client may have a three (3) business day right to cancel this Agreement after signing.

Cancellation does not entitle the Client to a refund for prior payments covering consulting, assessments or audits, document reviews, strategy sessions, administrative work, customized recommendations, educational resources, or other services already rendered.

Chargeback Protection

The Client agrees to contact KLN Consulting regarding any billing concerns before initiating a chargeback or payment dispute.

If a chargeback is filed for services already rendered, KLN Consulting reserves the right to provide documentation of services performed and contest the dispute and pursue any remedies available under this Agreement and applicable law.

Nothing in this section is intended to limit any rights the Client may have under applicable law.

Confidentiality & Privacy

All Client information is kept strictly confidential and will be used solely for the purpose of providing services under this Agreement.

KLN Consulting maintains reasonable administrative, technical, and physical safeguards designed to protect personal, business, credit, and financial information from unauthorized access, disclosure, alteration, or destruction.

Legal & Compliance

Services are educational, advisory, strategic, and consultative in nature.

KLN Consulting does not guarantee business formation or registration approval, business credit approval, vendor or tradeline approval, credit score increases, financing approval, specific funding amounts, interest rates or repayment terms, business revenue or growth, or specific timelines or results.

Business financing is a separate process. Financing eligibility, approval, amounts, rates, and terms are determined solely by individual lenders or financial institutions and are not guaranteed by KLN Consulting.

This Agreement is governed by the laws of the State of Delaware, subject to applicable federal and state consumer protection laws.

Communication Consent

The Client consents to receive account updates, document requests, program updates, billing notifications, appointment reminders, and communications related to services provided via SMS, email, or phone.

This consent applies to notifications regarding the Client's program, service updates, administrative messages, requested documents, strategy sessions, and billing matters.

Acknowledgment

By enrolling and submitting payment, the Client confirms:

They have read, understood, and agreed to this Agreement
They understand the nature and scope of the Business Blueprint 360™ Program
They understand that specific outcomes and funding approvals are not guaranteed
They agree to provide accurate information and requested documentation
They acknowledge receipt of KLN Consulting's applicable Privacy Policy and cancellation policy
They authorize payment according to their selected payment option
They agree to the communication consent terms

The Client Acknowledges, Affirms, and Agrees That

By enrolling and submitting payment, the Client confirms they are receiving professional consulting services from KLN Consulting, a division of CDW Consulting LLC (the “Company”).

The Client acknowledges that these consultation and professional services represent valuable consideration under this Agreement.

The Client understands that services may be provided through direct consultations, telephone or virtual meetings, communications, document reviews, research, analysis, strategy development, administrative work, educational resources, and other professional services performed by the Company.

The Client acknowledges that any consultation, onboarding, assessment, document review, strategy session, recommendation, analysis, or other professional service already completed by the Company constitutes a service rendered under this Agreement.

The Client agrees that any fees paid are in consideration of the Company's professional time, expertise, consultation, business and financial analysis, document review, strategy development, recommendations, and administrative and support services.

The Client acknowledges receipt of any consulting and professional services already provided and understands that future services under the program will be provided in accordance with the Client's selected package, participation, payment status, and the terms of this Agreement.

Client Acknowledgement

By enrolling and submitting payment, I acknowledge that I have read and understood this Business Blueprint 360™ Complete Business Build-Out Program Agreement.

I agree to the terms outlined above, including the program investment, the Funding Success Fee, the no-refund policy, and my responsibilities as a Client.
